Welcome to Art Vault ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Art Vault website, application, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms. We may modify these Terms at any time. All changes will be effective immediately upon posting to the Service, and we will update the "Last Updated" date above. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Art Vault provides a platform for users to catalog, organize, and share their art collections. Users can upload images of artworks, add details such as title, artist, and visibility (public or private), and explore public artworks shared by other users.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have your parent or legal guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your account.

5. User Content

You retain all ownership rights to the content you upload, submit, store, send, or receive through the Service ("User Content"). This includes artwork images, titles, descriptions, and any other information you provide.

By making your User Content "public," you grant Art Vault a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and Art Vault's (and its successors' and affiliates') business, including for promoting and redistributing part or all of the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights, licenses, consents, and permissions to publish User Content you submit and to grant the licenses granted herein.

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any illegal purpose or in violation of any local, state, national, or international law;
  • Uploading or sharing content that is infringing, defamatory, obscene, pornographic, abusive, or otherwise objectionable;
  • Harassing, abusing, or harming another person or group;
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
  • Interfering with or disrupting the Service or servers or networks connected to the Service;
  • Using any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission;
  • Attempting to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Service.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Art Vault and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Art Vault.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service, or contact us to request account deletion.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ART VAULT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ART VAULT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the company is based, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
