Welcome to Art Vault ("Art Vault," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Art Vault website, application, public archive, private collection tools, memberships, uploads, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, browsing public pages, uploading content, purchasing a membership, or otherwise using the Service, you confirm that you can enter into a binding agreement and that you will comply with these Terms and all applicable laws. We may update these Terms from time to time. When we do, we will update the date above and, when appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
2. Description of Service
Art Vault provides tools for collectors to catalog, organize, search, and document artworks. You can upload images, add artwork metadata, maintain private collection records, create public artwork pages, explore public archive content, submit artwork suggestions, and use account or membership features that may be available from time to time.
Art Vault is a collection management and discovery tool. We do not authenticate artworks, provide legal, tax, appraisal, insurance, conservation, investment, or provenance advice, or guarantee the accuracy of user-submitted artwork information.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with permission from a parent or legal guardian. By using the Service, you represent that you meet these eligibility requirements.
4. User Accounts
You may need an account to access private collection tools, uploads, membership features, or administrative controls. You agree to provide accurate information, keep your account information current, and protect your sign-in credentials. You are responsible for activity that occurs under your account, including artwork records, uploads, visibility changes, and subscription activity. Notify us promptly if you believe your account has been compromised.
5. User Content
You retain ownership of content you upload, submit, store, or publish through the Service, including artwork images, collection metadata, notes, provenance entries, profile details, comments, and suggestions ("User Content"). You are responsible for your User Content and for making sure you have the rights and permissions needed to upload, store, publish, and share it through Art Vault.
For private User Content, you grant Art Vault a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit that content only as needed to provide, secure, support, and improve the Service.
When you mark User Content as public, submit content for public display, or otherwise choose to share it publicly, you grant Art Vault a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, reproduce, display, distribute, index, create previews or derivatives, and otherwise use that public User Content in connection with operating, promoting, and improving the Service.
We may remove, restrict, or change the visibility of User Content if we believe it violates these Terms, infringes rights, creates legal or security risk, or could harm Art Vault, users, or the public.
6. Public Archive and Collection Visibility
Art Vault includes both private collection tools and public archive features. You control whether eligible artwork records are private or public, but you understand that public records may be viewed by anyone, shared through links, indexed by search engines, and retained in backups or caches for a period of time after changes are made.
Do not publish sensitive personal information, confidential collection details, private location data, or images and metadata that you do not have permission to share.
7. Memberships, Billing, and Paid Features
Some features may require a paid membership or subscription. Prices, plan features, limits, renewal terms, taxes, and cancellation options will be shown at checkout or in the Service. Payments are processed by third-party payment providers, and your use of those payment services may be subject to their terms and privacy policies.
Unless otherwise stated at checkout, subscriptions renew automatically until canceled. You are responsible for canceling before the next billing period if you do not want to renew. Fees are non-refundable except where required by law or expressly stated by Art Vault.
8. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the Service for any illegal purpose or in violation of any local, state, national, or international law;
- Uploading, storing, or publishing content that infringes intellectual property, privacy, publicity, contractual, or other rights;
- Uploading or sharing content that is defamatory, obscene, pornographic, abusive, hateful, misleading, fraudulent, or otherwise objectionable;
- Harassing, abusing, or harming another person or group;
- Impersonating any person or entity or misrepresenting your affiliation with a person, artist, gallery, collector, institution, or organization;
- Publishing artwork records in a way that falsely implies authentication, endorsement, ownership, sale authority, or provenance certainty;
- Interfering with or disrupting the Service or servers or networks connected to the Service;
- Using robots, spiders, scrapers, bulk export tools, or other automated means to access the Service without our written permission;
- Attempting to bypass rate limits, access controls, security measures, or account restrictions;
- Attempting to decipher, decompile, disassemble, reverse engineer, or copy any software used to provide the Service except where the law permits it.
9. Intellectual Property
The Service, including its software, design, interfaces, logos, branding, compilation, and non-user content, is owned by Art Vault or its licensors and is protected by intellectual property laws. These Terms do not give you ownership of the Service or permission to use Art Vault branding except as necessary to identify the Service.
If you believe content on Art Vault infringes your rights, contact us with enough detail for us to review the issue, including the content at issue, the rights you claim, your contact information, and a statement that the information you provide is accurate.
10. Third-Party Services and Links
The Service may rely on or link to third-party services, including authentication, hosting, storage, payments, analytics, maps, email, or external websites. We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies.
11. Termination
You may stop using the Service at any time and may contact us to request account deletion. We may suspend or terminate access to the Service, remove content, or limit features if we believe you violated these Terms, created risk for the Service or other users, failed to pay applicable fees, or used the Service in a way that could cause harm or legal exposure.
After termination, sections that by their nature should survive will continue to apply, including ownership, content licenses for previously public content, payment obligations, disclaimers, limitations of liability, indemnity, dispute terms, and general provisions.
12. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ART VAULT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND ACCURACY.
We do not guarantee that the Service will be uninterrupted, error-free, secure, or that collection records, public archive information, search results, artwork metadata, provenance details, or user submissions will be complete, accurate, or suitable for your intended purpose.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ART VAULT AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY LAW, ART VAULT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO ART VAULT FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS.
14. Indemnity
You agree to defend, indemnify, and hold harmless Art Vault and its affiliates, directors, employees, contractors, service providers, and licensors from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any rights or laws.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. You and Art Vault agree to bring any dispute arising from or related to these Terms or the Service in the state or federal courts located in California, except that either party may seek injunctive or equitable relief in any court with jurisdiction.
16. General Terms
These Terms, together with the Privacy Policy and any additional terms presented for specific features, are the entire agreement between you and Art Vault regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, but we may assign them as part of a merger, acquisition, reorganization, or sale of assets.
